JOB DESCRIPTION – Assistant Manager / Senior Assistant Manager – Legal
& Secretarial

Private Limited MNC with combined Legal & CS exposure
Key Responsibilities
Secretarial Compliances (Companies Act)
- Ensure compliance with Companies Act and relevant rules & regulations.
- Ensure adherence to Board/AGM resolutions and corporate governance practices.
- Maintain statutory registers and records.
- Ensure regulatory updates are implemented and approved by the Board.
Board & Committee Meetings
- Prepare agenda, notices, and meeting papers for Board, Committee, and AGM meetings.
- Convene meetings, draft minutes, resolutions, and track action points.
- File statutory forms and annual returns through consultants.
Contract Management
- Identify contractual/legal risks and propose mitigation measures.
- Draft, review, and negotiate contracts with internal and external stakeholders.
- Track and send contractually required notices and reports.
- Improve quality of drafts and documentation.
CSR & Special Projects
- Handle CSR project monitoring and compliance documentation.
- Track fund utilization, contractual requirements, and reporting.

- Support CSR meetings and assist in board reporting.
Miscellaneous Responsibilities
- Support Legal Department and Directors on key matters.
- Perform additional tasks and special projects as assigned by HOD/Manager.
Technical Skills Required
- Creative drafting skills (Legal/Marketing communication).
- Strong written and verbal communication skills.
- Attention to detail and documentation accuracy.
- Understanding of legal compliance, corporate governance, and contract law.
